Whistler Terms of Service

1. Introduction
Welcome to Whistler. These Terms of Service ("Terms") govern your access to and use of the Whistler application, a secure anonymous whistleblowing and reporting platform provided by Spartan9 Pte Ltd ("Spartan9", "we", "us", "our"). The Service is operated at https://www.whistlr.app.
By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" or "your" include that organisation.
2. Definitions
- "Service" means the Whistler application, website, and all related services operated at https://www.whistlr.app.
- "User" means any individual who accesses or uses the Service, including Primary Account Holders and Authorised Persons.
- "Organisation" means the entity that subscribes to the Service and on whose behalf Users access the platform.
- "Report Data" means information submitted through the Service's reporting functionality, including report content, location details, and any optional information or file attachments provided by the reporter. Report Data is encrypted at rest.
- "Passkey" means the decryption key set by the Organisation that is required to access encrypted Report Data. Spartan9 does not store or have access to Passkeys.
- "Primary Account Holder" means the User designated as the primary administrator for an Organisation's account.
- "Authorised Person" means a User who has been invited by a Primary Account Holder to access the Organisation's account.
3. Eligibility and Registration
The Service is available to organisations globally. By registering for the Service, you confirm that:
- You are at least 18 years of age.
- You are authorised to act on behalf of your Organisation and to bind the Organisation to these Terms.
- All registration information you provide is accurate, current, and complete.
- You will maintain and promptly update your registration information to keep it accurate.
We reserve the right to refuse registration or to suspend or terminate accounts that we reasonably believe contain inaccurate or fraudulent information.
4. Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password and any Passkeys used to decrypt Report Data. You agree to:
- Use a strong password that meets the Service's minimum requirements.
- Not share your login credentials with any unauthorised third party.
- Notify us immediately at enquiries@whistlr.app if you become aware of any unauthorised access to your account.
- Safeguard your Organisation's Passkey and ensure it is shared only with authorised personnel.
Spartan9 is not liable for any loss or damage arising from your failure to protect your account credentials or Passkey. You are responsible for all activity that occurs under your account.
5. Subscription Plans, Trial, and Billing
5.1. Free Trial
New Organisations may be eligible for a free trial period of up to 30 days. During the trial period, you will have access to the full features of the Service. No payment information is required to start a trial.
If you do not subscribe to a paid plan before the trial period ends, your access to the Service will be suspended. If no subscription is activated within a reasonable period after the trial ends, your Organisation and all associated data, including Users, reports, cases, and comments, will be permanently deleted.
5.2. Subscription Plans
We offer a range of subscription plans with varying team size limits and pricing. Details of current plans, including pricing and features, are available on our pricing page. Each plan includes a maximum number of Users that may be added to the Organisation's account.
5.3. Billing and Payment
Payments are processed securely through Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you authorise us to charge your selected payment method for the applicable subscription fees. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) and are automatically renewed at the end of each billing period unless cancelled.
You are responsible for ensuring that your payment information is current and valid. If a payment fails, we may suspend access to the Service until the outstanding amount is settled.
5.4. Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period. You will continue to have access to the Service until the end of the period for which you have already paid. No pro-rated refunds will be issued for the remaining portion of a billing period.
5.5. Refund Policy
All fees are non-refundable except where required by applicable law. Refunds are not provided for partial subscription periods, unused portions of a subscription, or periods during which the Service was available but not used by you.
6. Acceptable Use
You agree to use the Service only for its intended purpose: the submission, receipt, and management of whistleblower reports and related compliance activities. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Submit knowingly false, fraudulent, or malicious reports.
- Upload or transmit any files containing viruses, malware, or other harmful code.
- Attempt to gain unauthorised access to the Service, other user accounts, or any systems or networks connected to the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Circumvent, disable, or interfere with any security features of the Service.
- Use the Service to send unsolicited communications, spam, or promotional material.
- Use automated tools, bots, or scripts to access or interact with the Service without our prior written consent.
- Interfere with or disrupt the integrity or performance of the Service.
- Resell, sublicence, or redistribute the Service to any third party without our prior written consent.
We reserve the right to suspend or terminate your access to the Service if we reasonably determine that you have violated this Acceptable Use section.
7. Report Data and Encryption
The Service encrypts Report Data using AES-256-CBC encryption with unique initialisation vectors for each data field. Encrypted Report Data can only be decrypted using the Passkey set by your Organisation.
Important: Spartan9 does not store, have access to, or have the ability to recover your Organisation's Passkey. If your Passkey is lost, we cannot decrypt your Report Data, and such data will be permanently inaccessible. It is your sole responsibility to securely store and manage your Passkey.
File attachments included in reports are also encrypted. Accepted file types include documents (PDF, DOC, DOCX), images (JPG, JPEG, PNG), and audio files (MP3, WAV, M4A), with a maximum file size of 5 MB per attachment.
You acknowledge and agree that Spartan9 shall have no liability for any loss of access to Report Data resulting from a lost, forgotten, or compromised Passkey.
8. Intellectual Property
8.1. Your Content
You retain ownership of all content that you or your Users create, upload, or submit through the Service, including Report Data. We do not claim any ownership rights over your content. We will not access, use, share, or disclose your content except as necessary to provide the Service, comply with applicable law, or as described in our Privacy Policy.
8.2. Our Intellectual Property
The Service, including all software, design, text, graphics, trademarks, logos, and other intellectual property, is owned by Spartan9 Pte Ltd and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use it in accordance with these Terms.
8.3. Licence to Use the Service
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your Organisation's internal business purposes during the term of your subscription.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SPARTAN9 EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
- ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.
- ANY WARRANTY THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
You acknowledge that no advice or information, whether oral or written, obtained from Spartan9 or through the Service, creates any warranty not expressly stated in these Terms.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- SPARTAN9, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR USE, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF SPARTAN9 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- IN NO EVENT SHALL SPARTAN9'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO SPARTAN9 DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES TO SPARTAN9, SPARTAN9'S MAXIMUM LIABILITY SHALL NOT EXCEED ONE HUNDRED SINGAPORE DOLLARS (SGD 100).
- WITHOUT LIMITING THE FOREGOING, SPARTAN9 SHALL HAVE NO LIABILITY FOR ANY LOSS OF ACCESS TO, OR INABILITY TO DECRYPT, REPORT DATA RESULTING FROM A LOST, FORGOTTEN, COMPROMISED, OR MISMANAGED PASSKEY.
- SPARTAN9 SHALL HAVE NO LIABILITY FOR ANY FAILURE OR DELAY IN PERFORMING ITS OBLIGATIONS WHERE SUCH FAILURE OR DELAY RESULTS FROM CIRCUMSTANCES BEYOND ITS REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, NATURAL DISASTERS, WAR, TERRORISM, PANDEMIC, GOVERNMENT ACTIONS, POWER FAILURES, INTERNET OR TELECOMMUNICATIONS FAILURES, OR THIRD-PARTY SERVICE OUTAGES.
THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL SURVIVE THE TERMINATION OR EXPIRATION OF THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless Spartan9, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any content you or your Users submit, upload, or transmit through the Service.
- Any third-party claim arising from your Organisation's use of the Service, including claims related to the content of reports submitted through your Organisation's reporting portal.
This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.
13. Service Availability
We strive to maintain high availability of the Service but do not guarantee that the Service will be available at all times or without interruption. You acknowledge and agree that:
- The Service may be subject to scheduled or unscheduled maintenance, updates, or downtime.
- We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
- We are not liable for any loss or damage resulting from the unavailability of the Service, whether due to maintenance, technical issues, or circumstances beyond our control.
- We do not provide any service level agreement (SLA), uptime guarantee, or performance commitment.
We will make reasonable efforts to notify you of planned maintenance that may significantly affect the availability of the Service.
14. Termination
14.1. Termination by You
You may terminate your use of the Service at any time by cancelling your subscription and requesting the deletion of your Organisation's account. To request account deletion, please contact us at enquiries@whistlr.app.
14.2. Termination by Spartan9
We may suspend or terminate your access to the Service, in whole or in part, at our sole discretion, with or without notice, if:
- You breach any provision of these Terms.
- Your subscription payment fails and remains outstanding after reasonable notice.
- Your trial period expires without activation of a paid subscription.
- We are required to do so by law or regulatory authority.
- We reasonably believe that your use of the Service poses a risk to the Service, other users, or third parties.
14.3. Effect of Termination
Upon termination of your account:
- Your right to access and use the Service will cease immediately.
- We will delete your Organisation's data, including User accounts, Report Data, cases, and comments, in accordance with our data retention and deletion practices described in our Privacy Policy.
- Any outstanding fees owed to Spartan9 will remain due and payable.
14.4. Surviving Provisions
The following sections shall survive the termination or expiration of these Terms: Definitions, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any other provisions which by their nature are intended to survive termination.
15. Force Majeure
Spartan9 shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or regulations, power failures, internet or telecommunications failures, failures of third-party service providers, cyberattacks, or any other event that could not have been reasonably foreseen or prevented.
16. Modifications to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the effective date. We may also notify you via email or through a notice within the Service.
Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Spartan9 with respect to your use of the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Spartan9 relating to the Service.
19. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the exclusive jurisdiction of the courts of the Republic of Singapore.
